What do hockey, Canada, and corporate law have in common? Jane Clemens. A partner in our Corporate & Business Practice Group, one of Jane’s most high-profile transactions was representing the purchaser of the National Hockey League’s Buffalo Sabres. She also has experience in cross-border transactions involving U.S. and Canada, and with the formation of both for-profit and not-for profit entities.

Jane’s expertise in successfully completing complex transactions extends to federal income tax considerations involving tax-exempt and non-exempt corporations, corporate reorganizations and dissolutions, succession planning for closely-held businesses, and counseling both publicly owned and privately held entities in acquisitions, divestitures, finance and planning.

Jane is also experienced in Uniform Commercial Code matters, including sales and secured transactions. She has represented borrowers from banks and from quasi-public agencies such as the New York State Dormitory Authority, the U.S. Department of Housing and Urban Development, industrial development agencies, and the Buffalo Urban Renewal Agency. She also represents banks in commercial loan transactions.

She has served as a panelist for seminars sponsored by the New York State Bar Association, Lohrman Institute, National Business Institute on topics including, Forming and Advising Businesses, Sale and Purchase of Business, Business Entities in New York, Partnership, LLC’s and LLP’s: Organization and Operation in New York; Health Care Corporate Compliance Programs in New York, and Health Law Update. Publications include: “New Federal Regulations Expand Protections for Privacy of Health Records," New York State Bar Association Journal, June 2002, and “Possible Personal Liability for Failure to Pay Taxes,” 15 Women’s Bar News of the State of New York, January/February 2005.

Jane is on the Board of Directors of several not-for-profit agencies. She is admitted to practice in New York and before the United States District Court, Western, Southern and Eastern Districts of New York, and the United States Bankruptcy Court, Western District of New York.

Jane received her J.D., cum laude, from the State University of New York at Buffalo in 1976 and a B.A. from Oberlin College in 1969.
